Terms of Service

SELL-U LATAM LLC (hereinafter, the "Company"), located in Spring Hill, Florida, ZIP Code 34609, and registered under EIN 84-3781816, provides consulting and business expansion services to companies seeking to enter and establish themselves in the United States and Canadian markets. By accessing or using the services offered at sellu.co (hereinafter, the "Website"), you (hereinafter, the "Client" or "user") agree to these Terms of Service (the "Terms").

Please read these Terms carefully before using the services. If you do not agree with them, do not use the Website or the Company’s services.

1. Acceptance of the Terms

By accessing, registering for or using any service offered by SELL-U LATAM LLC, you represent that you are at least 18 years of age, have the legal capacity to enter into contracts and agree to comply with these Terms in their entirety.

2. Description of Services

SELL-U LATAM LLC offers the following core services:

  • Custom consulting: Strategy design for the expansion of Latin American companies into the US and Canadian markets.
  • Business infrastructure setup: Includes website design, digital marketing, trademark registration and US company formation.
  • Regulatory compliance: Advice on local regulations and health registrations.
  • Marketplace management: Assistance creating and managing accounts on Amazon, Walmart, Etsy and other marketplaces.
  • Logistics and warehousing: Services related to product storage and shipping.

Services may vary according to the Client’s needs and will be subject to additional agreements set forth in custom contracts.

3. Use of the Website

3.1 Use Restrictions

The Client agrees to:

  • Not use the Website for any illegal or unauthorized purpose.
  • Not access, interfere with or attempt to damage the Company’s networks, systems or infrastructure.
  • Not copy, reproduce, distribute or resell the services without the Company’s express authorization.

3.2 Suspension of Use

SELL-U LATAM LLC reserves the right to suspend or terminate access to the Website or the services if it believes the Client is in breach of these Terms or acting in a manner that may harm the Company or other users.

4. Contracts and Payments

4.1 Custom Contracts

When engaging services from SELL-U LATAM LLC, the Client will enter into a custom contract specifying the particular terms of the service, delivery timelines and associated costs.

4.2 Payment Policy

  • Payments will be made through PayPal, a secure and reliable platform.
  • Contracted services are subject to advance payment unless otherwise agreed.

4.3 Non-Payment

In the event of late payment or non-payment, SELL-U LATAM LLC may:

  • Temporarily suspend the services.
  • Charge late-payment interest at the rate permitted by law.
  • Initiate legal action to collect the amounts owed.

5. Limited Warranties

SELL-U LATAM LLC warrants that:

  • The services will be performed professionally and in accordance with commercial standards.
  • It will make every reasonable effort to resolve any issue that arises during the provision of the services.

However, the Company cannot guarantee:

  • Specific or successful results arising from the services provided.
  • Strict compliance with timelines in the event of force majeure.

6. Cancellations and Refunds

6.1 Cancellation Policy

  • The Client may cancel a contracted service by giving the Company written notice at least five (5) business days in advance.
  • SELL-U LATAM LLC may retain part of the payment made to cover administrative costs and/or services already rendered.

6.2 Refund Policy

  • Refunds will be issued within fifteen (15) business days following approval of the refund request.
  • No refunds will be issued for services completed in full.

7. Intellectual Property

All Website content, including text, images, graphics, logos, source code and digital tools, is the exclusive property of SELL-U LATAM LLC and is protected by United States and international intellectual property laws.

The Client may not:

  • Reproduce, distribute or modify the content without prior written authorization.
  • Use the SELL-U LATAM LLC name or logo for commercial purposes without consent.

8. Limitation of Liability

SELL-U LATAM LLC shall not be liable for:

  • Indirect, incidental, punitive or consequential losses arising from the use of the services.
  • Damages caused by third parties, Client errors or events beyond the Company’s reasonable control.

The Company’s total liability shall be limited to the amount paid by the Client for the contracted services.

9. Dispute Resolution

9.1 Governing Law

These Terms shall be governed by the laws of the State of Florida, United States, excluding its conflict-of-laws principles.

9.2 Mediation and Arbitration

In the event of a dispute, the parties agree to first attempt to resolve it through mediation. If no agreement is reached, the dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA).

10. Amendments to the Terms

SELL-U LATAM LLC reserves the right to amend these Terms at any time. Amendments will be posted on the Website and will take effect immediately. Continued use of the services constitutes acceptance of the amended terms.
