Why Florida?

Why Florida?

Florida combines reasonable costs, zero state income tax and the largest concentration of bilingual professionals in the country. If your clients or your team live in Latin America, it is the most practical state.

0% state income tax

Florida has no state income tax. Your LLC only pays at the federal level, and as a single-member non-resident that is usually $0 if you do not operate inside the US.

A natural hub for Latin America

Miami is the gateway to the US for Latin American founders. Bilingual banks, attorneys and CPAs, plus direct flights from across the region.

Solid asset protection

Florida has one of the strongest charging order laws in the country. Your personal assets stay protected if your LLC gets sued.

The process

How to open your Florida LLC: step by step

You can do the whole process on your own. Steps 2 and 4 are where foreign founders get stuck the most, and that is exactly where Sell-U takes over.

  1. 01 Your call · 5 min

    Choose your LLC name

It must end in "LLC" or "L.L.C." and be unique in Florida. Check availability on sunbiz.org. Optional reservation for $25 if you are not ready yet.

  2. 02 Required · $125/year

    Appoint a Florida Registered Agent

A person or company with a physical Florida address that receives legal mail. It cannot be you if you live outside the US.

    Sell-U handles it →
  3. 03 Official filing

    File the Articles of Organization

The document that creates your LLC, filed with the Florida Division of Corporations online or by mail.

  4. 04 IRS filing

Get your EIN from the IRS

The Employer Identification Number is your company’s federal tax ID. Without an SSN you must file Form SS-4 by fax or mail. It takes 4–8 weeks if you do it yourself.

    Sell-U handles it →
  5. 05 Recommended

    Draft your Operating Agreement

It defines how your LLC runs: members, ownership percentages, decisions and distributions. It is not filed with the state, but banks and partners almost always ask for it.

  6. 06 No SSN · 100% remote

Open your bank account and start operating

With your LLC and EIN you can open an account with Mercury, Relay or Wise Business. Accept USD payments, connect Stripe and start invoicing.

Taxes

Why Florida is tax-friendly.

Three numbers that matter when choosing a state. Florida LLCs are pass-through by default.

State income tax
0%

Florida has no state income tax.

Your LLC only pays at the federal level. As a single-member non-resident with no US activity, federal tax is usually $0, but you still have to file Form 5472 + 1120 every year.

Sales Tax
6%

Only applies if you sell physical goods in Florida.

If you sell digital services or products to customers outside Florida, you do not collect Sales Tax. If you have physical nexus (a warehouse or an employee in FL), you must register.

Franchise Tax
N/A

Florida charges no Franchise Tax on LLCs.

Unlike Delaware ($300/year) or California ($800/year), Florida does not charge LLCs a franchise tax. A key reason for the real savings.

This is not tax advice. Every case depends on your residency and income. We work with partner CPAs who know the Latin American founder playbook.

Annual obligations

What comes due every year (and the penalties if you forget).

Forming the LLC is just the beginning. These are the dates to keep on your calendar.

Obligation Due date Cost Penalty for missing it
Annual Report May 1, every year $138.75 $400 if you file late
Registered Agent renewal Your LLC’s anniversary $125 Loss of good standing
Federal taxes April 15 Depends on structure IRS penalties and interest
Sales Tax (if applicable) Monthly or quarterly Variable 10% of the amount owed + interest

FAQ

What matters, no fluff.

Don’t see your question? Write to us and a specialist will reply within 24 hours, in English or Spanish.

Do I need an SSN or to live in the US to open my Florida LLC?
No. You can form your Florida LLC from any country in Latin America or from Spain, with no SSN, no ITIN and no travel. All you need is a Registered Agent with a physical Florida address (Sell-U provides it), your passport and a mailing address.
How soon will my LLC be up and running?
Filing the Articles of Organization takes 5–15 business days. The EIN for founders without an SSN takes another 4–8 weeks if you file by fax or mail. With Sell-U the full process (LLC + EIN) usually wraps up in 4–6 weeks.
Will I have to pay taxes in the US and in my home country?
It depends on your tax residency. A Florida LLC is pass-through by default: it pays no US corporate tax if you do not physically operate there. As the owner, though, you must file Form 5472 + 1120 every year (informational) and report the income in your country of residence.
Can I open a bank account for my LLC without traveling to the US?
Yes. Digital banks like Mercury, Relay and Wise Business accept founders without an SSN as long as you have an active LLC, an EIN and a passport. The process is 100% remote.
Why Florida and not Delaware or Wyoming?
Florida is the most practical choice if your clients or team are in Latin America: Miami is packed with bilingual banks, attorneys and CPAs. Delaware makes sense if you plan to raise institutional capital. Wyoming is the cheapest option if you only need a private holding company.
